Terms of Service

1. Agreement
These Terms of Service (the “Terms”) govern access to and use of the Atmventory platform (the “Service”), operated by Atmventory (“we”, “us”). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the company you represent (the “Customer”). If you do not have authority to bind that company, do not use the Service. The Service is a business tool intended for commercial use by ATM operators and is not offered to consumers.
2. The Service
Atmventory provides software for managing ATM portfolio operations, including terminal registers, processor report imports, merchant agreement tracking, commission calculations, profitability reporting, and cash route workflows. Atmventory is management software only: it is not a payment processor, transaction switch, or ATM-driving software, and it does not transmit, process, or store cardholder data. Your relationships with processors, sponsor banks, and merchants remain your own, and you are responsible for your regulatory obligations in operating your ATM business.
3. Accounts and subscriptions
New accounts begin with a 60-day free pilot. After the pilot, continued use requires a paid subscription on one of our published plans, billed monthly in advance in US dollars (the portfolio currency selected at signup affects only how your own data is displayed and reported). Plan tiers are based on terminal allowances; if your fleet exceeds your plan’s allowance, we will ask you to upgrade. You may cancel at any time, effective at the end of the current billing period; fees already paid are non-refundable except where required by law. We may change pricing with at least 30 days’ notice, applying from your next billing period. You are responsible for keeping account credentials confidential and for all activity under your users’ accounts.
4. Customer data
You own your data. All terminal records, processor reports, merchant agreements, commission records, and other content you upload or generate in the Service (“Customer Data”) remain the Customer’s property. You grant us a limited licence to host and process Customer Data solely to provide and support the Service. You can export your data at any time while your subscription is active, and for 60 days after termination, after which we may delete it. You are responsible for having the right to upload the data you provide, including any personal information about your merchants and staff.
5. Acceptable use
You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to the Service or other customers’ data; interfere with or disrupt the Service; resell or provide the Service to third parties without our written consent; reverse engineer the Service except as permitted by law; or upload malicious code or cardholder data. We may suspend accounts that violate this section, with notice where practicable.
6. Availability and support
We work to keep the Service available and performant, but it is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including fitness for a particular purpose. Calculations produced by the Service (including commission and profitability figures) depend on the data you provide; you are responsible for reviewing outputs before relying on them for payments or business decisions. 7. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the Service is limited to the amounts paid by the Customer in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
8. Termination
Either party may terminate for material breach if the breach is not cured within 30 days of written notice. We may suspend or terminate accounts with overdue balances after reasonable notice. Sections 4, 7, and 9 survive termination.
9. General
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, and the parties attorn to the courts of Ontario. We may update these Terms from time to time; material changes will be communicated by email or in-app notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If any provision is found unenforceable, the remainder stays in effect.
